Terms of Reference (TOR) for Hiring a Legal Firm

Requirement: Engagement of a Legal Firm for Comprehensive Legal Support

Duration: One Year (with the possibility of renewal)

1. Background

Nusaned is a Lebanese non-profit community-based humanitarian and development organization that is apolitical and impartial and believes in the power of collaboration to create a faster and stronger Impact. To ensure legal compliance, regulatory adherence, and effective risk management, Nusaned is seeking to engage a qualified legal firm to provide ongoing legal support for one year.

2. Scope of Work

The selected legal firm will be responsible for providing the following services:

1. Legal Advisory Services

• Provide legal guidance on governance, regulatory compliance, labor law, contracts, and NGO-related matters.
• Offer legal opinions on matters impacting Nusaned’s operations and partnerships.

2. Contract Drafting and Review

• Draft, review, and negotiate contracts, agreements, and MOUs with partners, donors, vendors, and service providers.
• Ensure contracts align with Lebanese laws and protect Nusaned’s interests.

3. Employment and Labor Law Compliance

• Advise on employment policies, contracts, and regulatory requirements.
• Assist in resolving labor disputes and ensuring compliance with labor laws and social security regulations.

4. Regulatory Compliance and Registration Support

• Assist in renewing Nusaned’s registrations with relevant ministries, including the Ministry of Finance and the Ministry of Interior.
• Support in obtaining and maintaining necessary legal permits and licenses.

5. Legal Representation

• Represent Nusaned in legal matters, including negotiations, dispute resolutions, and litigation if necessary.
• Act as a legal liaison with governmental bodies and regulatory agencies.

6. On-Call Legal Support

• Provide legal consultations and advice on an as-needed basis.
• Respond to urgent legal matters affecting Nusaned’s operations.

7. Donor Compliance and Due Diligence

• Ensure compliance with donor regulations and international legal standards.
• Assist in legal documentation for grant applications and reporting.

8. Risk Assessment and Mitigation

• Identify potential legal risks and provide strategies for mitigation.
• Assist in developing internal policies to strengthen compliance and risk management.

3. Deliverables & Reporting

The selected legal firm is expected to:

• Provide timely legal consultations and advisory reports.
• Deliver reviewed and finalized contracts, agreements, and policies as required.
• Ensure the completion of all regulatory filings and renewals.
• Offer legal representation and negotiation support as needed.
• Submit periodic reports outlining key legal developments and compliance updates.

4. Proposal Submission & Quotation Request

Interested legal firms are requested to submit a proposal that includes:

• A company profile highlighting relevant experience with NGOs.
• A detailed technical proposal outlining the approach to the scope of work.
• A financial proposal including a breakdown of costs for each service.
• The profiles of key legal professionals who will be assigned to Nusaned.
• References from at least two similar clients.
