Objective of the Assignment
The objective of this consultancy is to develop a Governance Manual that:
- Clearly outlines the governance structure and roles of the Board and Management.
- Defines governance processes, principles, and decision-making protocols.
- Aligns with Lebanese NGO law and international best practices in nonprofit governance.
- Ensures clarity, transparency, accountability, and effective delegation across the organization.
Scope of Work
The Consultant will be expected to:
- Review and assess existing governance-related documents (e.g., bylaws, policies, board charters).
- Conduct interviews with key stakeholders, including board members and senior management.
- Benchmark governance best practices relevant to the nonprofit sector in Lebanon and globally.
- Draft a Governance Manual that includes, but is not limited to:
- Governance principles and values
- Structure and roles of the Board of Directors
- Committees and their functions
- Board-member recruitment, orientation, and evaluation
- Meeting protocols, quorum, and voting
- Conflict of interest and code of conduct
- Relationship between the Board and Executive Management
- Delegation of authority and decision-making framework
- Reporting and accountability mechanisms
- Facilitate a validation workshop with key stakeholders to present and review the draft manual.
- Incorporate feedback and finalize the Governance Manual.
Deliverables
- Inception Report with work plan and timeline
- Stakeholder interview summary and governance assessment
- Draft Governance Manual
- Presentation and facilitation of validation workshop
- Final Governance Manual (in English, editable format)
Timeline
The assignment is expected to take approximately 3 weeks from the date of signing the contract, according to the agreed work plan.
Required Qualifications
- Advanced degree in law, public administration, nonprofit management, or related field
- Proven experience in developing governance frameworks and manuals for NGOs
- Strong knowledge of nonprofit governance standards and Lebanese NGO regulations
- Excellent facilitation, analytical, and communication skills
- Fluency in English (Arabic is an asset)
